1. Acceptance of Terms

By accessing or using the alora platform (the “Platform”), operated by Alora Group LLC (“Company,” “we,” “our,” or “us”), you agree to be bound by these Terms of Service (the “Terms”). If you do not agree to all of these Terms, you may not access or use the Platform. These Terms constitute a legally binding agreement between you and the Company.

2. Description of Service

alora is an insurance management and connection platform that enables individuals and businesses (“Explorers”) to organize their insurance coverage, complete educational assessments, and connect with licensed insurance professionals (“Guides”). The Platform provides tools for policy tracking, coverage education, professional discovery, and secure communication between Explorers and Guides. The Platform facilitates connections and provides educational resources only. It does not sell, broker, bind, or underwrite insurance policies, nor does it provide specific insurance recommendations or financial advice.

3. Eligibility

You must be at least 18 years of age to use the Platform. By creating an account, you represent and warrant that you are at least 18 years old, that you have the legal capacity to enter into a binding agreement, and that all information you provide is accurate, current, and complete. If you are using the Platform on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

4. User Accounts

To access certain features of the Platform, you must create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised. You may create one or more insurance profiles (“Personas”) within your account to manage different coverage areas (for example, personal insurance and commercial insurance). Each Persona maintains its own assessment history, policy records, and connection relationships.

5. User Roles and Responsibilities

5.1 Explorers

Explorers use the Platform to manage their insurance information, complete assessments to understand their coverage needs, and connect with Guides. Explorers are responsible for providing accurate information about their insurance policies and coverage needs. Explorers control their own data visibility, including whether their profile appears in the Discovery directory and which policy details are shared with connected Guides through the data access request system.

5.2 Guides

Guides are licensed insurance professionals who use the Platform to connect with potential clients. Guides represent and warrant that they hold all licenses required by their jurisdiction to provide insurance services, that all professional information provided (including license numbers, areas of specialization, and years of experience) is accurate and current, and that they will comply with all applicable laws, regulations, and professional standards in their interactions with Explorers. Guides are solely responsible for the advice and services they provide to Explorers. The Company does not supervise, direct, or control the professional services rendered by Guides.

6. Connections and Data Sharing

The Platform enables Explorers and Guides to establish connections. When a connection is established, both parties may access shared profile information and communicate through the Platform’s messaging system. Guides may request access to an Explorer’s policy data through the data access request feature. Explorers must explicitly grant or deny each request. Granting access allows the connected Guide to view the specified policy details. Either party may terminate a connection at any time. Upon termination, the other party’s access to shared data through the Platform will be revoked.

7. Assessments and Content

The Platform provides insurance-related assessments and educational content through the Coverage Library and assessment system. This content is provided for general informational and educational purposes only and does not constitute insurance advice, a recommendation to purchase or cancel any insurance product, legal, financial, or professional advice of any kind, or a guarantee of coverage or insurability. Assessment results, coverage scores, and recommendations generated by the Platform are based on the information you provide and are intended to help you better understand your coverage landscape. They should not be relied upon as a substitute for professional advice from a licensed insurance professional.

8. Payments and Subscriptions

Certain features of the Platform may require payment. All payments are processed through our third-party payment processor, Stripe. By making a payment, you agree to Stripe’s terms of service in addition to these Terms. All fees are stated in U.S. dollars unless otherwise indicated. Payments are non-refundable except as required by applicable law or as expressly stated in a separate refund policy. We reserve the right to change our pricing at any time. If you are on a subscription plan, we will notify you of price changes at least 30 days before they take effect.

9. Acceptable Use

You agree not to use the Platform to violate any applicable law or regulation; impersonate any person or entity, or misrepresent your affiliation with any person or entity; provide false, misleading, or inaccurate information in your profile, assessments, or communications; harass, abuse, threaten, or intimidate other users; transmit spam, unsolicited advertising, or promotional materials; attempt to gain unauthorized access to the Platform, other user accounts, or related systems; interfere with or disrupt the Platform’s infrastructure or other users’ experience; use automated tools (bots, scrapers, crawlers) to access the Platform without our written consent; or collect or harvest personal information of other users without their consent.

10. Intellectual Property

The Platform, including its design, text, graphics, logos, icons, software, and all other content (collectively, “Platform Content”), is the property of Alora Group LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any Platform Content without our prior written consent. You retain ownership of any content you submit to the Platform (such as assessment responses, policy information, and messages). By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process that content solely for the purpose of operating and improving the Platform.

11. Reviews and Ratings

Explorers may leave reviews and ratings for Guides they are connected with. Reviews must be honest, accurate, and based on genuine interactions. You may not submit reviews that are defamatory, fraudulent, or intended to manipulate a Guide’s reputation. We reserve the right to remove reviews that violate these Terms. Guides may respond to reviews through the Platform’s review response feature.

12. Disclaimer of Warranties

The Platform is provided on an “as is” and “as available” basis without warranties of any kind, either express or implied. To the fullest extent permitted by law, the Company disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or secure, that any defects will be corrected, that the information provided by other users (including Guides) is accurate or reliable, or that the Platform will meet your specific requirements. The Company does not endorse, verify, or guarantee the qualifications, advice, or services of any Guide on the Platform.

13. Limitation of Liability

To the fullest extent permitted by applicable law, Alora Group LLC, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, arising out of or in connection with your use of or inability to use the Platform, any conduct or content of other users, any advice or services provided by Guides, unauthorized access to or alteration of your data, or any other matter relating to the Platform. Our total aggregate liability for all claims arising from or related to the Platform shall not exceed the greater of one hundred U.S. dollars ($100) or the amount you have paid to us in the twelve (12) months preceding the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless Alora Group LLC, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with your use of the Platform, your violation of these Terms, your violation of any third-party rights, or any content you submit to the Platform.

15. Termination

You may terminate your account at any time by contacting us. We may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform will immediately cease. Provisions of these Terms that by their nature should survive termination (including, without limitation, disclaimers, limitations of liability, and indemnification) will survive.

16. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Platform shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, either party may pursue resolution through binding arbitration administered in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in the state where Alora Group LLC is registered. Each party shall bear its own costs of arbitration. You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law principles. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Delaware.

18. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting an updated version on the Platform and updating the “Last Updated” date. For significant changes, we may also notify you by email or through a prominent notice on the Platform. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Platform.

19. General Provisions

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company regarding the Platform. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term. Any notices to the Company should be sent to [email protected].
